GIGABULL B2B Terms and Conditions

1. Introduction
These terms and conditions govern the relationship between GIGABULL, specializing in leather goods (“Supplier”), and any buyer (“Buyer”) engaging in transactions through the Grooft B2B marketplace (“Platform”). By using the Platform, Buyer agrees to abide by these terms.

2. Orders
– Buyer may place orders for leather goods through the Platform.
– Supplier reserves the right to accept or reject any order at its discretion.
– Once an order is accepted, it is binding, subject to the terms outlined herein.

3. Pricing and Payment**
– Prices listed on the Platform are in [currency] and exclude applicable taxes and shipping fees.
– Payment terms shall be as agreed upon between Supplier and Buyer.
– Buyer shall make payment in accordance with the agreed-upon terms.

4. Delivery**
– Supplier shall make best efforts to deliver orders within the agreed-upon timeframe.
– Any delays or issues with delivery shall be communicated to Buyer promptly.
– Risk of loss or damage to goods shall pass to Buyer upon delivery.

5. Quality Assurance
– Supplier warrants that all leather goods supplied shall be of satisfactory quality and fit for their intended purpose.
– Buyer shall inspect goods upon receipt and notify Supplier of any defects or non-conformities within a reasonable timeframe.

6. Returns and Refunds
– Returns and refunds shall be handled in accordance with Supplier’s return policy as communicated on the Platform.
– Buyer shall bear the cost of return shipping unless otherwise agreed upon.

7. Intellectual Property
– All intellectual property rights in the leather goods, including but not limited to trademarks and designs, belong to Supplier.
– Buyer shall not use Supplier’s intellectual property without prior written consent.

8. Limitation of Liability
– Supplier shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or performance of the leather goods.
– In no event shall Supplier’s total liability exceed the total amount paid by Buyer for the goods in question.

9. Governing Law and Jurisdiction
– These terms and conditions shall be governed by and construed in accordance with the laws of [jurisdiction].
– Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of [jurisdiction].

10. Platform Disclaimer
– Grooft B2B marketplace is a facilitator of transactions between Supplier and Buyer and is not responsible for any transactions conducted outside of the Platform.
– Supplier and Buyer acknowledge and agree that any transactions conducted outside of the Platform are at their own risk, and Grooft B2B marketplace shall have no liability in connection therewith.

11. Miscellaneous
– These terms and conditions constitute the entire agreement between Supplier and Buyer and supersede any prior agreements or understandings, whether written or oral.
– No modification or amendment to these terms shall be valid unless in writing and signed by both parties.

By accepting these terms and conditions, Buyer acknowledges and agrees to be bound by all provisions herein.
