Terms and Conditions for B2B Online Sales

1. Introduction

Welcome to Orbis Machinery, LLC’s online sales platform. These Terms and Conditions (“Terms”) govern your use of our website and the purchase of our products through this platform. By placing an order, you agree to be bound by these Terms.

2. Definitions

• “Buyer” refers to the business entity purchasing goods from Orbis Machinery, LLC.
• “Seller” refers to Orbis Machinery, LLC.
• “Products” refer to the goods offered for sale by the Seller.
• “Order” refers to the Buyer’s request to purchase Products from the Seller.

3. Orders and Acceptance

• All Orders are subject to acceptance by the Seller. The Seller reserves the right to reject any Order for any reason.
• An Order is considered accepted when the Seller issues a written confirmation (via email or other electronic communication).

4. Prices and Payment

• Prices are quoted in USD and are subject to change without notice.
• Payment terms are net 30 days from the date of invoice unless otherwise agreed upon in writing.
• Late payments will incur interest at a rate of 1.5% per month.

5. Delivery and Risk of Loss

• Delivery dates are estimates only and the Seller is not liable for delays.
• Risk of loss passes to the Buyer upon delivery of the Products to the carrier.

6. Inspection and Acceptance

• The Buyer must inspect the Products upon receipt and notify the Seller of any defects or discrepancies within 10 business days.
• If the Buyer fails to notify the Seller within this period, the Products are deemed accepted.

7. Returns and Refunds

• Returns are only accepted with prior authorization from the Seller.
• Products must be returned in their original condition and packaging.
• Refunds will be issued at the Seller’s discretion and may be subject to a restocking fee.

8. Warranty

• The Seller warrants that the Products will be free from defects in material and workmanship for a period of one year from the date of delivery.
• The Seller’s liability under this warranty is limited to repair or replacement of defective Products.

9. Limitation of Liability

• The Seller’s liability is limited to the purchase price of the Products.
• The Seller is not liable for any indirect, incidental, or consequential damages.

10. Confidentiality

• Both parties agree to keep confidential any proprietary information received from the other party.

11. Intellectual Property

• All intellectual property rights in the Products remain with the Seller.

12. Governing Law

• These Terms are governed by and construed in accordance with the laws of the State of Wisconsin.

13. Dispute Resolution

• Any disputes arising under these Terms will be resolved through binding arbitration in Waukesha County, Wisconsin.

14. Force Majeure

• The Seller is not liable for any delay or failure to perform due to causes beyond its reasonable control.

15. Amendment

• The Seller reserves the right to amend these Terms at any time. Any amendments will be effective upon posting on the Seller’s website.

16. Entire Agreement

• These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.
